Morning Rain Creative – Terms & Conditions
1. Definitions
“Agency” means Morning Rain Creative.
“Client” means the party engaging the Agency.
“Work” means all design, creative, strategy, and deliverables produced.
2. Scope of Work
All work will be outlined in a written proposal or agreement.
Anything outside that scope:
May incur additional costs
Will be agreed before proceeding
3. Fees & Payment
A deposit (typically 50%) is required before work begins
Remaining balance due upon completion (or staged if agreed)
Payment terms: 14 days from invoice date
Late payments may:
Pause work
Incur interest (e.g. 5% monthly or statutory UK rate)
4. Revisions
Projects include a reasonable number of revisions (usually 2–3 rounds unless stated).
Additional revisions:
Charged at agreed hourly/day rate
5. Client Responsibilities
The Client agrees to:
Provide timely feedback
Supply accurate content, assets and approvals
Ensure they have rights to any materials provided
Delays from the Client may affect timelines.
6. Intellectual Property
Before final payment:
All work remains property of the Agency
After full payment:
Final approved deliverables are transferred to the Client
The Agency retains the right to:
Showcase work in portfolio
Use for promotional purposes
7. Third Party Costs
Any external costs are not included unless stated, such as:
Stock imagery
Fonts/licences
Printing
Web hosting / domains
Developers or specialists
These will be approved by the Client before purchase.
8. Project Timelines
Timelines are estimates based on:
Prompt client feedback
No major scope changes
The Agency is not liable for delays caused by:
Client delays
Third parties
9. Cancellation
If a project is cancelled:
Deposit is non-refundable
Work completed to date will be invoiced
10. Liability
The Agency will not be liable for:
Loss of profit
Indirect or consequential losses
Total liability limited to the value of the project.
11. Approval
Once work is approved:
Responsibility passes to the Client
The Agency is not liable for errors missed at approval stage
12. Confidentiality
Both parties agree to keep sensitive information confidential.
13. Governing Law
These terms are governed by the laws of England & Wales.
